  • Applicant may purchase a set of Limited Liability Forms from the in-house bank or via download
  • Provide Consent letter from certified auditor by the Institute of Chartered Auditors and must be registered as a Sole Proprietor/Partnership
  • Form 3 must be witnessed by Commissioner for Oaths/Notary Public/Self-Declared
  • A minimum of two directors is required. Each must submit Statutory Declaration & Consent Letter with the registration Form
  • Submit filled forms at the Company Registration Counter for Verification and Capturing or via Online
  • Pay two hundred and thirty Ghanaian Cedi (GHS 230) for Incorporation or via Online. Also Filing fee of Fifty Ghanaian Cedi (GHS 50) and 0.5% stamp duty on stated capital at the in-house bank or via Online
  • Registrar Examines, Approves & Issues :
    • Certificate of Incorporation
    • Certified Copy(CTC) of Standard/Registered Constitution of the Company
    • Certified Copy(CTC) of Form 3
  • File Annual Returns at Fifty Ghanaian Cedi(GHS 50) together with Audited Account

Company Wholly Foreign

  • Service Industry - Such as Construction and Civil Works
    • Minimum of five hundred thousand US Dollars (USD 500,000) in equity i.e Ghanaian Cedi equivalent for the foreigners at the Prevailing Bank rate
    • Applicants are to pay 0.5% stamp duty on the stated capital at the time of Incorporation
  • Trading Industry - Such as general Trading, Importers, Dealers in General Goods and Retail Trading, Manufactures Representatives
    • Minimum of One Million US Dollars(USD 1,000,000)in equity i.e Ghanaian Cedi equivalent for the foreigners at the Prevailing Bank rate
    • Applicants are to pay 0.5% stamp duty on the stated capital at the time of Incorporation
  • All enterprises in the Country with Foreign participation are required to register with the Ghana Investment Promotion Centre (GIPC) for an Investment Cert and other permits

Company with Foreign Participation

  • Service Industry
    • Foreign Applicants must have minimum of two hundred thousand US Dollars (USD 200,000) (Stated Capital) i.e Cedi equivalent at the prevailing Bank rate
    • Ghanaian applicant must have 10% equity participation of the company at time of incorporation
    • Applicants are to pay 0.5% stamp duty on the stated capital at the time of Incorporation
  • Trading Industry - Such as general Trading, Importers, Dealers in General Goods and Retail Trading, Manufactures Representatives
    • Foreign Applicants must have minimum of minimum of one million 1,000,000 US Dollars (USD 1,000,000) in equity i.e cedi equivalent at the prevailing bank rate
    • Ghanaian applicant must have 10% equity participation of the company at time of incorporation
    • Applicants are to pay 0.5% stamp duty on the stated capital at the time of Incorporation

All enterprises in the Country with Foreign participation are required to register with the Ghana Investment Promotion Centre (GIPC) for an Investment Cert and other permits.

PARTNERSHIP REGISTRATION

Partnership is made up of a minimum of two (2) and maximum twenty (2) persons who engage in profit making business read more

  • Provide stamped Partnership agreement at Land Valuation Board
  • Submit filled forms at the Partnership Registration Counter for Verification and Capturing or via Online
  • Pay processing fee of GHS160.00 at the in-house bank or via Online
  • Registrar Examines, Approves & Issues Certificate Incorporation as well as CERTIFIED TRUE COPY(CTC) of Form B
  • File Annual Returns at Fifty Ghanaian Cedi(GHS 50) together with Audited Account

SUBSIDIARY BUSINESS NAME REGISTRATION

UNDER REGISTRATION OF BUSINESS NAMES, ACT 1962 (ACT 151))

A Company may carry on Business under a Business Name which does not consist of its corporate name. This can be called a subsidiary of the parent Company with the Parent Company being the owner. A stamp of the Parent Company is required and signed by one of its existing directors or secretary.

  • Applicant may pick up a prescribed Form C from the in-house bank at GHS 3.50 / download
  • Submit filled forms at the Subsidiary Registration Counter for Verification and Capturing or via Online
  • Pay processing fee of GHS60.00 at the in-house bank or via Online
  • Registrar Examines, Approves and issues Subsidiary Name Registration Certificate.
  • CERTIFIED TRUE COPY(CTC) of Form A
  • Renewal each year at GH 25 cedis.

BUSINESS NAME/SOLE PROPRIETOR REGISTRATION

  • Submit filled forms at the Business names Registration Counter for Verification and Capturing or via Online
  • Pay processing fee of GHS60.00 at the in-house bank or via Online
  • Registrar Examines, Approves and issues Business name Registration Certificate
  • CERTIFIED TRUE COPY(CTC) of Form A
  • Renewal each year at GH 25 cedis.

REGISTRATION PROCESS / PROCEDURE(Walk-in procedure)

  • Provide 3 business/company name for search for availability of a name
  • Buy or download required Entity Registration form
  • Complete the Entity Form
  • Pick a ticket per the Entity Type
  • Wait till your ticket number is called
  • Submit the completed form with all the supporting document for validation by inspector
  • Payment slip is generated for payment to be made
  • Document is left at the in-house Bank for onward process
  • Decision is made to Approve, Query or Reject
  • Certificate and other supporting documents are issued when approval is given

ONLINE

  • Go to www.rgdeservices.com.
  • Search for the availability of your Business Name by clicking on Name Search.
  • Download forms of the Entity Type you want to register.
  • Print, fill, sign and scan the form and other supporting documents.
  • Create an account as a portal user.
  • Login with the user name and password given after the account creation.
  • Select Entity Registration link on the welcome page.
  • Select Entity Registration link again on the left pane.
  • Click on ‘Create New’ button if name has not been reserved or click on ‘Create From Name Reservation’ button if business name has been reserved.
  • Select entity type from the dropdown list.
  • Type business Name under Entity Name and click on Proceed button.
  • Certificate and other supporting documents are issued when approval is given.
  • Input data, upload scanned and signed document and follow the instructions.
  • Pay online by clicking on ‘make payment online’ link.
  • The status of the registration will be communicated via SMS.
  • Click on eCertificate link to save or print certificate and other supporting documents after approval is given.
